# Software licence and terms

The terms under which you licence and use Solcis, self-hosted.

## 1. Introduction

These terms govern your access to and use of the Solcis software (the 'Software'), which you install and operate yourself. By installing or using the Software, or by accepting an order that references these terms, you agree to them. If you are agreeing on behalf of an organisation, you confirm you have authority to bind that organisation ('Customer', 'you').

Solcis is provided only for installation in an environment you control. Solcis does not host the Software or operate it as a service on your behalf.

## 2. Definitions

| Term                    | Meaning                                                                                                                                         |
| ----------------------- | ----------------------------------------------------------------------------------------------------------------------------------------------- |
| Software | The Solcis agentic compliance software licensed to you, in object code form. |
| Self-Hosted Environment | Any environment you own or control in which the Software runs, including on-premises, private cloud, isolated networks, and air-gapped systems. |
| Licence Key | The key that activates the Software for your permitted scope and term. |
| Licence Server | The Solcis endpoint that records licence metadata for compliance and billing. It does not receive Customer Content. |
| Authorised User | An employee or contractor you permit to use the Software on your behalf. |
| Compliance Decision | A single evaluation by the Software of an agent action, returning Allow, Deny, Escalate, or a Risk Rating. |
| Customer Content | The data, actions, and payloads your agents and systems submit to the Software. Customer Content stays in your environment. |
| Documentation | The Solcis technical documentation, as updated from time to time. |

## 3. Licence grant

Subject to these terms and the applicable order form, Solcis grants you a non-exclusive, non-transferable, non-sublicensable licence to install and use the Software in object code form in your Self-Hosted Environment for your internal business purposes. The order form states whether the licence is a subscription or perpetual licence and defines its permitted scope. All rights not expressly granted are reserved.

## 4. Licensing and metering

The Software is activated with a Licence Key. The Software may transmit licence metadata to the Licence Server for compliance and billing. That metadata is limited to licensing and usage counts and does not include Customer Content. Your order form may provide for fully air-gapped operation using an offline licence.

## 5. Installation, operation, and independence

You are responsible for installing, configuring, and operating the Software in your environment in line with the Documentation. The Software runs entirely within your environment. Solcis does not receive, store, or process Customer Content, and does not have access to your runtime data. The compliance receipts and evidence the Software produces are yours, and are designed to be independently verifiable without trusting Solcis or you.

## 6. Updates and support

Solcis may make updates available, including fixes, improvements, and security updates. You are responsible for installing updates in your environment. Solcis is not responsible for issues arising from outdated versions. Support is provided at the level stated in your order.

## 7. Restrictions

You will not, and will not permit any person to:

* reverse engineer, decompile, or disassemble the Software, except to the extent applicable law expressly permits;
* remove, disable, circumvent, or tamper with any licensing, entitlement, metering, or integrity mechanism in the Software, or issue or accept a licence not granted by Solcis;
* sell, resell, sublicense, rent, lease, or otherwise provide the Software to a third party, except as your order permits;
* use the Software to build or assist a competing product, or for competitive benchmarking; or
* use the Software unlawfully, or in breach of the Acceptable Use Policy.

## 8. Export control and sanctions

You will comply with all applicable export control and sanctions laws, including those of the United Arab Emirates and any other applicable jurisdiction. Each party confirms it is not the subject of sanctions and is not listed on any applicable denied-party list. You will not use or provide the Software in or to any embargoed jurisdiction or prohibited person.

## 9. Warranty and disclaimer

Solcis warrants that the Software will operate materially in accordance with the Documentation. This is your sole remedy for breach of warranty. Otherwise the Software is provided 'as is', and Solcis disclaims all other warranties to the fullest extent permitted by law, including fitness for a particular purpose and non-infringement.

## 10. Limitation of liability

Neither party is liable for indirect, special, incidental, or consequential loss, or for lost profits, revenue, or data. Each party's total liability arising out of these terms is capped at the fees paid or payable by you in the twelve months before the event giving rise to the claim. Nothing limits liability that cannot be limited under applicable law.

## 11. Term and termination

For a subscription licence, these terms apply for the subscription term stated in the order form. For a perpetual licence, these terms apply while you use the Software, subject to termination under these terms. Either party may terminate for material breach not cured within thirty days of notice. On termination, your licence ends and you must stop using the Software. Compliance receipts and evidence already generated remain yours.

## 12. Governing law

These terms are governed by the laws of the Abu Dhabi Global Market (ADGM), and the ADGM Courts have jurisdiction. Where a government, public-sector, or critical-infrastructure customer is required to contract under the national law of its own jurisdiction, the governing law and forum for that customer's order are as set out in the applicable order form and prevail over this clause for that customer.

## 13. Changes

Solcis may update these terms. Material changes take effect on your next renewal unless you agree earlier.

## 14. Contact

## Querying This Documentation
If you need additional information that is not directly available in this page, you can query the documentation by asking a question.

Perform an HTTP GET request on the following URL with the `ask` and `goal` query parameters:

```
GET https://docs.solcis.ai/legal-centre/software-licence-and-terms.md?ask=<question>&goal=<user_goal>
```

`ask` is the immediate question: it should be specific, self-contained, and written in natural language.
`goal` is what the user is ultimately trying to achieve, the reason they need the answer. Sharing it helps GitBook give you a better, more relevant answer. A goal is most helpful when it describes the outcome the user wants rather than restating the question. For example, with `ask=how do I create an API token`, a goal like `automate deployments from our CI pipeline` lets GitBook tailor the answer to that use case.

The response will contain a direct answer to the question and relevant excerpts and sources from the documentation.

Use this mechanism when the answer is not explicitly present in the current page, you need clarification or additional context, or you want to retrieve related documentation sections.
